Mölnlycke to separate its surgical solutions business into a standalone company

Mölnlycke continuously evaluates its portfolio and operating model to ensure the business is well positioned to serve both healthcare professionals and patients in the best possible way. Having delivered sustained growth across its current business areas – Wound Care, ORS, Gloves and Antiseptics – the Board has concluded that changing market dynamics, customer needs and value drivers are best addressed by operating as two standalone companies, each with sharper strategic focus, clearer accountability and greater speed of execution:

• Mölnlycke – comprising the Wound Care and Antiseptics businesses, will focus on accelerating innovation and investments addressing strategic priorities and changing customer needs. The business benefits from market-leading solutions, an established global customer base and resilient end markets. In 2025, Wound Care and Antiseptics generated net sales of c. €1.3 billion and an EBITDA margin of c. 38%.
• Mölnlycke Surgical – comprising the ORS and Gloves businesses, will focus on improving efficiency, safety and outcomes in surgical settings. The business has well established positions in key segments, a strong manufacturing footprint and benefits from continued investments in product and service innovation. In 2025, ORS and Gloves generated net sales of c. €0.8 billion and an EBITDA margin of c. 11%.

“Our ongoing assessment of Mölnlycke’s portfolio has highlighted the opportunity for two strong standalone companies, each with the focus, accountability and resources to realise its full potential and be better positioned to create long-term value,” says Karl-Henrik Sundström, Chair of the Board of Directors at Mölnlycke.

Following the creation of Mölnlycke Surgical, the intention is that Mölnlycke and Mölnlycke Surgical will become two standalone portfolio companies under Patricia Industries’ ownership. The separation is expected to be completed during 2027, subject to customary approvals.  
Each company’s capitalisation will be assessed during the process with the ambition that both companies will have a capitalisation level suited for their respective business needs, and that Mölnlycke will maintain its investment grade rating.

Mölnlycke will provide further information, including expectations on potential organisational impact, as the process proceeds.
